| Mariah is a new volunteer – Introduction and discussion on her communication activities. – New website: http://www.historicuptown.org – New Facebook page: http://www.facebook.com/historicuptowncos – Do we want any other social media? – Newsletter – New logo | – The board was very impressed with the website, Facebook page, and newsletter done by Mariah… Bravo!!!! Everything looks so professional! Logo – Request removing ‘ASSOCIATION’ and ‘ESTD 2002’. Remove ASSOCIATION to simplify and remove ESTD because 2002 doesn’t feel historic. There was a discussion on putting 1871 but didn’t know how to do this without being confusing. – Send the updated logo to Jeff for letterhead. Newsletter – Request adding a Facebook link. Update next board meeting information. Other social media Ask Mariah if she has any recommendations for other social media and report in the next board meeting. Both Tam and Jeff liked the page and requested they be added to update the page. Mariah, can you see their Facebook information from their like? |
| Approve New Bylaws | – The bylaws were modified to replace ‘Near North End Neighborhood Association’ with ‘Historic Uptown Neighborhood Association’. The abbreviation changed from ‘NNE’ to ‘Uptown’. – Clarified Article 1, section 3. Western Boundary. Replaced ‘Monument Valley Park’ with ‘Western The boundary of Monument Valley Park’. – Clarified Article 5, section 9. Board Members shall be subject to removal from the Board by a unanimous vote. Replaced ‘(excepting out the Board Member being removed)’ with ‘ (the Board Member under consideration for removal shall be excluded from the vote)’ – Dianne motioned to accept the bylaws with the modifications above. Tam seconded the motion to accept the bylaws. All board members were in favor. – There was a request by Tam to revisit the bylaws later, paying more attention to the committee’s section. – Monica wanted to discuss the western boundary to include the demonstration garden of MVP in the next board meeting. The border currently ends at Cache La Poudre. |
| Treasurer Update | Name Change The name has been changed with the Colorado Secretary of State. I still need to write a letter to the IRS requesting a name change including the application and approval of the new name with the Colorado SOS, our new certificate of standing, and our new bylaws were approved tonight. New Bank Account – Tom didn’t have a separate account for the NNE so we are opening a new account for the Historic Uptown Neighborhood Association at Bank of Colorado (in our neighborhood!). They are offering us a free business account (normally $8.95/mo when the minimum balance is under $3500). They have reviewed our paperwork, and the following is required: – A letter from the IRS showing our EIN linked to Historic Uptown Neighborhood Association as mentioned above. (They might settle for a copy of the name/change letter I am writing to the IRS and then follow up in a couple weeks. I will email Luke at the bank a copy of the letter to find out if that’s sufficient.) – $100 opening deposit – Decision on the signers. I am suggesting that Cheryl and I be the signers if possible. It will depend upon their rules for taking signers off the account. Tax-Exempt Status 501(c)(3) -Apparently, we never filed for tax-exempt status. I will begin the process of completing form 1023EZ. It might require some authorizations, etc. I haven’t really gotten into it. – Tax Filing – From what I gathered by calling the IRS, we are not in any trouble. They don’t know anything about us other than we have never filed. Our PayPal account is tied to our EIN. – Once we have non-profit status, we will need to file a Form 990N each year. Not sure what we will do if we haven’t received tax-exempt status by then. The board approved the treasurer on: – Going forward with writing the name change letter to the IRS. – Making Jeff Hodges the official Treasurer. – Going forward with opening the bank account with Cheryl and Jeff as signers on the account with only one signer needed for checks. – Going forward with the application for tax-exempt 501(c)(3) status. |
